"Recycle The Runway" Competition

1. Competition: The “Recycle The Runway” Competition (“Competition”) will take place at Kings Plaza, located at 5100 Kings Plaza, Brooklyn, NY 11234 (the “Center”) on April 27, 2024 from approximately 1:30 p.m. (Eastern Time – all times set forth in these Official Rules are Eastern Time) to approximately 4 p.m. (the “Competition Date”), which times are subject to change before and during the Competition Date. The Competition will be held at Center Court on Level 1 at the Center (the “Competition Location”), which location is subject to change before the Competition Date.  The Competition is sponsored by Brooklyn Kings Plaza, LLC (the “Sponsor”). All copyrights and trademarks are the property of their respective owners. 

2. How To Enter:  To participate in the Competition: (i) pick up an entry form (“Entry Form”) from the Center’s Management Office located at 5100 Kings Plaza, Brooklyn, NY 11234 or enter from the Center’s website, www.KingsPlazaOnline.com/RecycletheRunway (“Website”); and (ii) submit the completed Entry Form along with a 50 word (or less) statement stating why the entrant wishes to participate in the Competition and any details regarding entrant’s artistic background (the “Statement”) (collectively, with the Entry Form and the Statement, the “Entry Materials”) online via the Website or in-person at the Center’s Management Office during Center business hours (as shown below).  The Entry Materials must be submitted between 12:01 a.m. on April 1, 2024 through 11:59 p.m. on April 15, 2024 (if submitting in-person at the Center’s Management Office, the hours are 10 a.m. to 5 p.m. (local time) Monday through Friday) (“Submission Period”). By completing the foregoing entry requirements, each entrant will receive one (1) entry (each an “Entry” and collectively, the “Entries”).  Any other attempt at entry is void.  There is a limit of one (1) Entry per person.  If multiple Entries are received from any one person, only the first Entry will be considered and subsequent Entries will be disqualified.  All Entries must be actually received by Brooklyn Kings Plaza, LLC during the Submission Period.  Sponsor’s computer system shall be the official timekeeper for all matters related to the Competition. All entries must be received by the Sponsor before the end of the Submission Period.  All entries received after the end of the Submission Period are automatically disqualified. Incomplete Entries, or failure to follow the instructions, procedures or these Official Rules shall render the Entry invalid. Attempts made by the same individual to submit multiple entries by using multiple accounts or otherwise may be disqualified. For the avoidance of doubt, Sponsor may not provide entrant with confirmation of Competition entry. From the submitted Entries, Sponsor will randomly select up to five (5) entrants to participate in the Competition (each a “Participant” and collectively, the “Participants”).  Participants will be notified via email or phone after being selected to participate in the Competition.   Selected Participants must confirm participation by Friday, April 19, 2024 after being notified they have been selected.  Participants must be available on the Competition Date.  Entry in this Competition constitutes each entrant’s unconditional acceptance and agreement to comply with and abide by these Official Rules and all decisions of Sponsor, which shall be final and binding in all respects.  If Sponsor is unable to choose up to five (5) Participants, Sponsor may cancel the Competition in its sole discretion and/or reduce the number of Participants who can compete in the Competition.

On the Competition Date, Participants must check-in with the representative(s) of the Sponsor at least one (1) hour prior to the start of the Competition on the Competition Date at the event area at the Competition Location.  At the time of check-in, Participants may be required to complete and sign an Affidavit of Eligibility, Liability Release and, where lawful, Publicity Release to use his or her name and/or image, including, without limitation, for advertising and promotional purposes, without further compensation (collectively, “Affidavit/Release”).  Each Participant will also be required to execute an Assignment of Rights, in which he/she irrevocably assigns and transfers to the Sponsor any and all rights, title and interest in the Competition Dress (as defined hereinafter) and Competition Handbag (as defined hereinafter). If any Participant fails or refuses to sign and return said documents, the Participant may be disqualified and an alternate Participant may be selected.  

 Participants must bring his/her own recycled and sustainable materials that have been previously approved by Sponsor, which may include, but not limited to, newspapers, cereal boxes, plastic shopping bags, plastic bottles, soda cans/pull tabs, tin foil, gum wrappers, etc. on the Competition Date (“Previously Approved Materials”).  Participants who will compete in the Competition will each be provided with a mannequin to dress.  Sponsor will provide additional recycled and sustainable materials (e.g., old signage, pillowcase covers, etc.) to be used during the Competition, which Sponsor may require the Participants to mandatorily incorporate into his/her Competition Dress and/or Competition Handbag. At least fifty percent of the recycled and sustainable materials the Sponsor provides must be incorporated into the final design.  Any other materials and/or pre-made items are prohibited.  Participants have one (1) hour on the Competition Date to assemble a dress that would “make Mother Earth proud” (“Competition Dress”) at the Competition Location, which will be judged based on the criteria set forth in Section 5 of these Official Rules.  In the event of a tie during the Competition, there will be a tie-breaker round, requiring the participants to complete a handbag/purse within thirty (30) minutes out of their Previously Approved Materials that would “make Mother Earth proud” (the “Competition Handbag”), also judged based on the criteria set forth in Section 5 of these Official Rules. Any acts or statement by Participant, or Previously Approved Materials and/or Competition Dress and/or Competition Handbag which shocks, insults or offends the majority or a substantial minority of the citizens in the community where the Center is located or any class or group thereof or reflects unfavorably on the Center, Sponsor or Macerich or its products or services may result in the Participant being disqualified by Sponsor and/or Sponsor’s representatives in their sole discretion.  



3. Eligibility:  Only legal U.S. residents of Brooklyn, New York, who are eighteen (18) years of age or older as of the time of entry are eligible to participate in the Competition and win a prize.  Participants may be asked to verify that they satisfy applicable residency and age requirements prior to commencement of the Competition.  Employees, officers, directors (and their immediate family members and members of their same households) and agents and representatives of (i) the Center, the Sponsor, The Macerich Company or The Macerich Partnership, L.P. or (ii) any of their respective parents, affiliates and subsidiary companies (collectively “Macerich”) and employees, officers, directors, agents and representatives of (i) the merchants of the Center and (ii) any advertising or promotion agencies that do business with Macerich are not eligible to participate or win. The Competition is subject to all federal, state, and local laws and regulations. Eligibility to win a prize is contingent upon complying with and fulfilling all requirements set forth herein. 

4. Statement/Approved Materials Restrictions: 
Entering the Competition does not create or confer any license, right or ownership interest under any copyright, trademark or other intellectual property laws in or to any intellectual property owned and/or controlled by the Sponsor. Any Statement, Entry Materials submitted, Previously Approved Materials, Competition Dress and/or Competition Handbag that, in Sponsor's good faith judgment, violate the following restrictions will be disqualified.  The foregoing may not contain, as determined by Sponsor in its sole discretion, any content that: 

(1) Contains any obscene, pornographic, libelous, hate speech or otherwise objectionable or inappropriate content;
(2) Promotes alcohol, illegal drugs, tobacco, firearms, weapons, or the use of any of the foregoing;
(3) Promotes any activities that may appear unsafe or dangerous; 
(4) Defames, misrepresents or contains disparaging remarks about Sponsor or its products, or other people, products or companies;
(5) Promotes any particular political party, agenda or message; 
(6) Communicates messages or images inconsistent with the positive image and/or goodwill with which Sponsor wishes to associate;
(7) Contains any personal identification, such as personal names, street or email addresses, or phone numbers other than the Sponsor or the Contest Object;
(8) Violates or encourages the violation of any law, rule or regulation;  
(9) Contains copyrighted materials owned by any individual or entity other than Sponsor.  

5. Competition Judging:  The Competition Dress and/or Competition Handbag will be judged by the Sponsor and/or the Sponsor's representatives based on the following criteria: which dress/handbag is the most stylish, which dress/handbag is the most wearable, which dress/handbag uses recyclable materials creatively, how well the dress/handbag will appear in the media, and how well the dress/handbag and the Participant will reflect on the Center, among other things (“Judging Criteria”).  The Judging Criteria are to be applied in the sole discretion of Sponsor; each Participant agrees to be bound by these Official Rules and not challenge the final decisions of Sponsor or Sponsor's representatives, which are final and binding in all respects. No substitution or revision of the Competition Dress and/or Competition Handbag will be accepted under any circumstances once the original submission is submitted for Consideration. Sponsor in its sole discretion shall determine if any submission or part thereof is inappropriate for any reason for public release or publication. Sponsor shall have the right to disqualify any submission that it deems to not meet criteria, or due to technical, legal (including intellectual property rights infringement), clearance or other problems, or which it deems to be obscene, demeaning or otherwise not in good taste, or otherwise in breach of the above rules, as determined by Sponsor in its sole discretion.   

6. Prize: A total of five (5) winners will be selected to each receive a check in the following amounts: (i) first place winner will receive a $1,000 check; (ii) second place winner will receive a $500 check; (iii) third place winner will receive a $250 check; (iv) fourth place winner will receive a $100 check; and (v) fifth place winner will receive a $50 check (individually and collectively, the “Prize”).  No substitution, cash equivalent, or transfer of Prize is permitted except at the sole discretion of Sponsor, who reserves the right to substitute the Prize (or portion thereof) with one of comparable or greater value at its sole discretion.  Each winner agrees to accept his or her Prize “as is.”  The Prize awarded is subject to the restrictions and limitations noted in these Official Rules, on the Prize and/or included with the Prize and each winner and/or Participant must abide by all such limitations and restrictions.  A lost or stolen Prize will not be replaced. The Prize may not be awarded if the winner is disqualified and an alternate winner is not selected, as described in these Official Rules.  There is a limit of one (1) prize per person for all sweepstakes, contests and competitions conducted by Sponsor during 2024.  Odds of winning a prize depend on the number of eligible entries received. The checks are subject to availability.  Additional terms and conditions may apply. The Prize will not be replaced.  No exchanges. Transportation, parking, concessions, gratuities, and other expenses are not included.  Sponsor is not liable for anything outside of its control, including, without limitation, rain/weather delays or cancellation and traffic. The winners are responsible for reporting and paying any federal, state or local taxes that may apply to accepting a prize; Sponsor is not responsible for and will not pay any such taxes. 

7. Winner Notification: Winners will be notified in person on the Competition Date. If the winner is not present, or if he or she is found to be ineligible, or if he or she cannot or does not comply with these Official Rules prior to delivery of the prize, the winner may be disqualified and an alternate winner may be selected.  No obligation to choose an alternate winner. The winner may be required to lend his or her “dress that would make Mother Earth proud” to the Center to use in any media broadcast or coverage relating to the Competition.

8. General Conditions:  Each Participant may be required to provide valid photo identification (i.e., driver’s license, passport, mailing address, telephone number and/or email address in order to claim the prize).  Each winner is solely responsible for all taxes on the prize including applicable sales and income taxes.  To the extent applicable, any forms required by the appropriate taxing authority must be completed prior to delivery of the prize, including a W-9 tax form (regardless of amount of prize). An IRS Form 1099 reporting the value of the prize as earned income will be issued as appropriate.  An executed Form W-9 and a photocopy of legal documentation showing the winner’s social security number must be provided before receiving the prize.  The winners will be selected at the conclusion of the Competition, but there will be some time between the winner winning the prize and when the checks are cut and provided to the winners. Sponsor, in its sole discretion, reserves the right to disqualify any person tampering with the entry process or, as applicable, the operation of the Center’s Website, or who is otherwise in violation of these Official Rules.  Such a person will be prosecuted to the fullest extent of the law.  Sponsor further reserves the right to cancel, terminate, suspend or modify any sweepstakes, contest, game or drawing not capable of completion as planned, including because of infection, as applicable, by computer virus, bugs, tampering, unauthorized intervention or technical or other failures of any sort, or any other causes beyond the control of Sponsor. Participants are subject to verification prior to awarding of prizes. Eligibility, age, and claims made by the Participants are also subject to verification prior to awarding of prizes. 

9. Representation And Warranties: Each Participant represents and warrants that the Statement, Entry Materials and the Competition Dress and/or Competition Handbag: (i) is the entrant’s own original, previously unpublished, and previously unproduced work; (ii) does not and will not violate or infringe upon the intellectual property rights or other rights of any third party; (iii) does not and will not violate any applicable laws, and is not and will not be defamatory or libelous, including without limitation, does not defame or invade the publicity or privacy rights of any person, living or deceased, or otherwise infringe upon any person’s personal or proprietary rights or constitute or suggest copyright infringement; and (iv) was not previously submitted in a promotion of any kind or exhibited or displayed publicly through any mean.  Each Participant hereby agrees to indemnify and hold the Sponsor Entities (as defined below) harmless from and against any and all third-party claims, actions or proceedings of any kind and from any and all damages, liabilities, costs and expenses relating to or arising out of any breach or alleged breach of any of the warranties, representations or agreements of entrant hereunder.

10. Publicity Release: Except where prohibited by law, by participating in the Competition and accepting the prize the winners grants Sponsor, Macerich and their respective partners, licensees, parents, subsidiaries, affiliates, assigns, related companies and successors, and all of their respective officers, directors, employees, representatives, attorneys and agents (collectively “Sponsor Entities”) the universal and perpetual right and license to use, exploit, print, publish, reproduce, display, distribute and broadcast and to grant others the right and license to use, exploit, print, publish, reproduce, display, distribute and broadcast the winner’s name, actual or simulated likeness, photograph, image, voice, portrait, picture, personal characteristics, the Competition Dress, the Competition Handbag, biographical information and other personal identification in any and all languages, formats, and media now known and hereafter developed (including, without limitation, on Facebook, Youtube, Twitter and Instagram), in connection with the Center’s Website, Competition and/or any Competition-related activity, being displayed at the Center and any and all advertising, promotion, marketing, and/or publicity thereof, including all ancillary and subsidiary rights therein, in any and all media now or hereafter known, without compensation or additional compensation, notification, permission or approval. 

11. Official Rules:  This Competition is subject to these Official Rules which will be available during Kings Plaza Management Office Hours (Mon – Fri 10AM – 5PM) until the Competition Date at the Center as well as online at www.KingsPlazaOnline.com/RecycleTheRunwayRules. By entering the Competition, entrants and Participants agree to waive any right to claim any ambiguity or error in the Official Rules of the Competition, or the Competition itself, and agree to be bound by these Official Rules and by all decisions of the Sponsor, whose decision is binding and final in all respects.

12. Disclaimers:  Sponsor Entities are not responsible for lost, late, damaged, incomplete, stolen, illegible, misdirected, deleted, destroyed or altered entries; or for any mail, computer, telephone, cable, network, electronic or Internet hardware or software malfunctions, failures, errors, interruptions, deletions, defects, delays, connections, availability or garbled or jumbled transmissions, service provider/Internet/Website/use net accessibility or availability, traffic congestion, or unauthorized human intervention or access to the Website, as applicable.  Proof of entering information at the Website or of deposit into U.S. mail, as applicable, is not considered proof of delivery or receipt.  The Sponsor Entities are not responsible, as applicable, for any incorrect or inaccurate information.  If by reason of any error, more prizes are claimed than the number set forth in these Official Rules, all persons making purportedly valid claims will be included in a random drawing to award the advertised prizes.  No more than the advertised number of prizes will be awarded. The invalidity or unenforceability of any provision of these Official Rules shall not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these Official Rules shall otherwise remain in effect and shall be construed in accordance with their terms as if the invalid or illegal provision were not contained herein.  

13. Release: By participating, entrants and Participants, on behalf of themselves and their heirs, executors, administrators, successors and assigns hereby knowingly and voluntarily release, discharge, waive and relinquish, and agree that they will not assert or maintain against the Sponsor Entities and those involved in the development, production (including prize suppliers, contractors, service providers), implementation and distribution of this Competition, all participating merchants and their designated agents and any other person or entity associated with such entities and/or this Competition, and any of their respective officers, directors, employees, representatives, attorneys, or agents (collectively, “Sponsor's Companies”), any claim, action, suit or demand of any kind or nature whatsoever, whether known or unknown now or in the future, directly or indirectly, in whole or in part, arising out of or in connection with their participation in this Competition or any Competition-related activity, or their acceptance, possession, use or misuse of any prize in any way (including any tax liabilities).  Entrants and participants hereby further agree that Sponsor's Companies are not responsible or liable for, and that entrants and participants will indemnify, defend, release, and hold Sponsor's Companies harmless from and against, any and all claims, liabilities, losses, damages, injuries, costs and expenses (including, without limitation, reasonable attorney’s fees) of any nature whatsoever whether known or unknown now or in the future, directly or indirectly, in whole or in part, arising out of or in connection with their participation in this Competition or any Competition-related activity, or their acceptance, possession, use or misuse of any prize in any way (including any tax liabilities), including, without limitation,  in connection with, preparation for, travel to, or participation in the Competition, or possession, acceptance or use of prizes or participation in any Competition-related activities and claims based on publicity rights, copyright or trademark infringement, defamation or invasion of privacy, data protection, and merchandise delivery. Entrants and Participants hereby acknowledge that they may hereafter discover facts different from or in addition to those which they now know or believe to be true and agree that this release will remain effective notwithstanding.

All entry information becomes the property of Sponsor and will not be acknowledged or returned.  Except as otherwise disclosed in these Official Rules, and to the extent entrants may otherwise elect at the time of entry, personal information collected in connection with the Competition will be used in accordance with the privacy policy in Section 19 below.  Participants expressly agree that the Competition Dress and/or Competition Handbag will upon their creation be owned solely and exclusively by the Sponsor throughout the universe in perpetuity, and participants hereby irrevocably assign to the Sponsor all right, title and interest, whether now existing or hereafter arising, including, without limitation, copyrights, trademarks, and patents in and to the Competition Dress and/or Competition Handbag free from any claims of Participant or any third party. In the event the foregoing assignment is deemed invalid or ineffective for any reason whatsoever, each entrant hereby expressly grants Sponsor a perpetual, non-exclusive, royalty-free and irrevocable license to use, reproduce, copy, publish, display, distribute, perform, translate, adapt, modify, and otherwise use, or not use, in any manner, in any media, at any time, in its sole discretion, including in a commercial manner and in advertising and promotions, and Participant forever releases and discharges Sponsor from any liability associated with any such usage.  

14. Winner List/Rules:  The names of the winners may be obtained after the Competition Date, by sending a self-addressed, stamped envelope, to be received by one month after the Competition Date, to: “Recycle The Runway” Competition Winner, c/o Kings Plaza, 5100 Kings Plaza, Brooklyn, NY 11234 Attn: Recycle The Runway Competition.

15. Governing Law:  Except to the extent pre-empted by federal or other applicable state law, this Competition shall be governed by the laws of the State of California (without giving effect to any conflict of law provisions thereof).  By participating in this Competition, entrants and participants agree that any and all disputes which cannot be resolved between entrant and Sponsor, and causes of action arising out of or connected with this promotion, shall be resolved individually, without resort to any form of class action, exclusively, before a court located in the City of Los Angeles, California having competent jurisdiction, which Court shall apply the laws of the State of California without giving effect to any conflict of law provisions thereof.

17. Nature Of Relationship/Waiver Of Equitable Relief: Each entrant  hereby acknowledges and agrees that the relationship between the entrant and the Sponsor Entities is not a confidential, fiduciary, or other special relationship, and that the entrant’s decision to provide the entrant’s Entry Materials and/or enter the Competition does not place the Sponsor Entities in a position that is any different from the position held by members of the general public with regard to elements of the entrant’s Entry Materials, Competition Dress and/or Competition Handbag.  Each entrant understands and acknowledges that the Sponsor Entities have wide access to ideas, stories, photographs, designs, and other literary materials, and that new ideas are constantly being submitted to it or being developed by their own employees.  Each entrant also acknowledges that many ideas or photographs may be competitive with, similar or identical to the Entry Materials, Competition Dress, Competition Handbag and/or each other in theme, idea, format or other respects.  Each entrant acknowledges and agrees that such entrant will not be entitled to any compensation as a result of any Sponsor Entity’s use of any such similar or identical material.  Each entrant acknowledges and agrees that the Sponsor Entities do not now and shall not have in the future any duty or liability, direct or indirect, vicarious, contributory, or otherwise, with respect to the infringement or protection of the copyright in and to the Entry Materials, Competition Dress, or Competition Handbag.

18. Force Majeure: In the event an insufficient number of eligible entries are received and/or Sponsor is prevented from awarding prizes or continuing with the Competition as contemplated herein by any event beyond its control, including but not limited to fire, flood, natural or man-made epidemic of health of other means, earthquake, explosion, labor dispute or strike, act of God or public enemy, satellite or equipment failure, riot or civil disturbance, terrorist threat or activity, war (declared or undeclared) or any federal state or local government law, order, or regulation, public health crisis, order of any court or jurisdiction, or other cause not reasonably within Sponsor’s control (each a “Force Majeure” event or occurrence), then subject to any governmental approval which may be required, Sponsor shall have the right to modify, suspend, extend, or terminate the Competition.   Unless otherwise stated in these Official Rules, in the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these Official Rules shall otherwise remain in effect and shall be construed in accordance with their terms as if the invalid or illegal provision were not contained herein.
